Working with founders and owner managers
Living and breathing the experience of founding our own business allows us to advise our clients on all aspects of their ownership, from preventing disputes to succession planning.
Safeguarding your business
With a background in commercial and corporate litigation, Vanessa and her team are keenly focused on preventing disputes between business partners.
This involves getting to know our clients on a personal level so that we can ensure our advice will look after the people running the business, this is not just paperwork.
Shareholders & Business Partners
Whether you are family or friends, colleagues or newly introduced, it is critical that you ensure your vision for the now and the future are aligned and recorded.
If you are shareholders and have no shareholders agreement, you only have the Companies Act 2006 (or older law) and your articles to fall back on. These are generally unhelpful for shareholders as they are far from bespoke and will not deal with the day to day issues that often arise for co-owners.
If you are partners in a partnership or LLP and have no written partnership agreement, it is much the same but you can run into even more serious issues upon any changes made to your business such as dissolution.
We help by advising on:
- roles and responsibilities, whether all of you are directors and shareholders or not
- exit strategies, whether you are scaling for sale or passing the mantle to the management team
- working with your financial advisers and planning for your long term future, preparing deeds of cross-options and liaising with your private client adviser
We specialise in preparing you for agreeing and recording your wishes, to allow for clarity and protection of the business you're working so hard to build.

Sometimes you only need a little something extra, and that can mean your lender requiring that you take independent legal advice. This is a service we frequently offer as lenders are increasingly cautious, it is imperative that you do take good quality and independent advice when underwriting company liabilities, and we will always be more than happy to help.
